Its worth keeping in mind that its the authority to issue up to. Doesn't meant it will be used. Somone else already commented thats it pretty standard for listed companies to request the authority to issue shares at the agm.
Extrader is right here chaps regarding the potential shares that can be issued. It’s just under 11b potentially - an increase of around a 1/3.
At least we have a clue how TF might well be paid. Assuming they would be issued at a discount the shares could be used to raise around £30-£40m by my calcs. Haven’t got a clue how much TF is worth and we must be near needing a working capital injection assuming there is no income in H2 2020 or Q1 2021.
When I read the meeting resolutions I priced in potential dilution to bring the price down to around 0.2p which thankfully hasn’t happened so I’m quite pleased with where the SP is at the moment.
Isn't the whole purpose of the SYME product to specifically make that dispute process easier, by having a clear and indelible blockchain through which to trace ownership of a physical commodity with accuracy?
This doesn't just make the product beneficial to companies holding inventory but also to those administering disputes over said inventory in cases where disputes arise.

Ex is right in what he is saying , save for the fact that the shares in resolution 6 are included in resolution 5 and not in addition to.
What Ex fails to say is that this is standard practice for any plc. They will generally have a resolution that gives authority to issue up to circa a third, pretty much what we have here.
Working on what ex is trying to frighten you with, means every plc would look to dilute shares by a third after an AGM. Does this happen?
Whilst ex posts the facts on this point, remember to look at things in the whole, rather than the spin that suits him.

The drop was manipulated.
News imminent and if hype did cause the pre announcement level of 0.58p then nothing has changed. News on TF, the Funder, the client base, all expected. AGM soon too.
Why wait to 0.55p to buy when you know right now this is heading up. Are there any other shares that offer more than 30% in the next 1-2 weeks?

market knows they soon have to pay out that's why AZ is always smiling imho-follow the leader he has lots of shares and says he's holding onto them for a reason
as a business owner I can understand why he's holding onto everything also in family life and protection this is important folks. Leverage!!

why do folk assume all dilution is bad when actually I've seen sp rise x10+ after dilution dont ask me to explain it

look at stock PHE they are building something new and niche and imho just like syme is going to be a massive global LEADER. Even though phe are working with the PEEL group and have costs covered a dilution there in my opinion would make the sp go up. The market can interpret it in many ways feeling investors once again stooped no?
Centrica? Last 10 years total disaster last period of earning worst ever on record but their shares in the last year have doubled muahahahahahah

The Prospectus p.10 spells out the difference between NOMINAL price and ISSUE price....
"The securities subject to Admission are the Existing Ordinary Shares together with the Consideration Shares and the Placing Shares (the Consideration Shares and the Placing Shares and together, the “New Shares”), all being Ordinary Shares of 0.002p each which together will be registered with ISIN number GB00BFMDJC60 and SEDOL number BFMDJC6 and will with effect from Admission trade under the symbol SYME.
The NOMINAL [my bold] value of the Ordinary Shares is denominated in UK sterling and the ISSUE PRICE of the Placing Shares will be £0.006756p, payable in UK sterling. The ISSUE PRICE of the Consideration Shares will be £0.006945p.
If you look at SYME docs at Companies House, confirmation statement 31 March 2021, you'll find this :
Class of Shares: ORDINARY
Currency: GBP
Number allotted 32754944590
Aggregate nominal value: 655098.8918
Total NOMINAL value is £ 655,098. SYME wants to issue £ 218,700 (Resolution 5) and a further £ 32,750 (Resolution 6), total £ 251,450.
251,450 / 655098 = 38%

This share seems to me to be one of those that the price just keeps on creeping up with anyone hardly noticing, in till all of a sudden a lot are left behind scratching there heads,wondering why didn't I pick a few of them up,I'm sure I remember them under a penny,best of luck on the journey everyone,have a good day.
The SPIN was possibly around around the 13b of the directors shares.. spinning it in such a way to suggest they are saying 'issue 12b odd new shares' complete SPIN as usual.. perhaps he could also learn how consignment stock works, when writing another novel around ownership/rights/bailiffs.. blah blah blah!
Extract from the RNS: "aggregate nominal amount of £218,700," Aggregate nominal value definition "The aggregate nominal value is the total value of the shares in issue. This is calculated by multiplying the number of shares in issue by the nominal share value." the nominal value of ours shares is 0.002p = 10.9 billion.
This is where ex is coming from and he is right. But remember this is only the authority to issue, doesn't mean they will.
THAT, the directors be generally and unconditionally authorised to allot and issue equity
securities (as defined by section 560 of the Companies Act) up to an aggregate nominal amount
of £218,700....
Says nothing about 12B.. it says upto an amount of £218K.
The BOD hold 40% as stated in that AGM notice. Why would they dilute that by a third..
No ex is refering to the amount of shares syme could ask to issue which is 12.4billion. Hes not quibbling at the price they could be issued at, only the numbers they COULD. Emphasis on could, not neccissarily would.

Current market cap around 130 Million
At current price of 0.4ish 70M shares would raise £280k
Yet he spouting off about it being 12Billion extra shares.
