("Driver" or "the Group")
Transfer of treasury stock to satisfy exercise of share options
The Company announces that, following the exercise of share options by a former employee- of the Group, 1,080,000 ordinary shares of 0.4 pence each in the capital of the Company ("Ordinary Shares") were transferred from treasury on 14 March 2022.
The Company will incur a one-off cash cost of approximately £250k in respect of employment tax liabilities crystallised by the option exercise.
Following this transfer, the issued share capital of the Company consists of 53,962,868 Ordinary Shares of which 707,811 are held in treasury. Therefore, the total number of Ordinary Shares carrying voting rights in Driver Group is 53,255,057. This figure of 53,255,057 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change to their interest, in the Company under the Disclosure Guidance and Transparency Rules.
