In accordance with Disclosure and Transparency Rule 5.6.1, the Company would like to notify the market of the following:

As at 30 April 2012, Ventus 2 VCT plc's capital consists of 24,422,655 ordinary shares and 11,329,107 'C' Shares with voting rights. The Company does not hold any ordinary shares in Treasury.

Therefore the total number of voting rights in Ventus 2 VCT plc is 35,751,762.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change of interest in, Ventus 2 VCT plc under the FSA's Disclosure and Transparency Rules.
