SDL PLC - Total Voting Rights and Capital

In conformity with the FCA's Disclosure and Transparency Rule 5.6.1(R) SDL PLC confirms that the total number of ordinary shares in issue at the date of this notice is 80,321,760 with each share carrying the right to one vote. No ordinary shares are held in treasury. Therefore, the total number of voting rights in the company is 80,321,760.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, SDL PLC under the FCA's Disclosure and Transparency Rules.
