Cookson Group plc - Voting Rights and Capital

In conformity with the FSA's Disclosure and Transparency Rule 5.6.1, Cookson Group plc confirms that, at the date of this announcement, it has an issued share capital of 276,422,137 Ordinary Shares of £1 each. None of these Ordinary Shares is held in Treasury.

Therefore, the total number of Cookson Group plc shares with voting rights is 276,422,137.

The above figure of 276,422,137 shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Cookson Group plc under the FSA's Disclosure and Transparency Rules.
