Rosneft Representatives in BoD of Pirelli&C. S.p.A

Rosneft Representatives Joined the Board of Directors of Pirelli & C. S.p.A.

A previously announced deal of purchasing of 50% share of Camfin, the company holding 26.19% of Pirelli & C. S.p.A. stake is bought in using the funds of pension funds and financial institutions involved on the principles of the project lending with the participation of Rosneft. The share in the mentioned holding company was purchased from an international consortium composed of Unicredit Bank, Intesa Sanpaolo banking Group, and Clessidra Fund.

The deal was bought on the basis of the deal criteria of 12 Euro per share price of Pirelli & C. S.p.A.

After the closing of the transaction the investor nominated candidates to the Board of Directors of Pirelli & C. S.p.A. Rosneft representatives joined the BoD of of Pirelli & C. S.p.A.

The new list of the BoD of Pirelli & C. S.p.A.:

1. Marco Tronchetti Provera (Deputy Chairman of Board of Directors od Mediobanca - Banca di Credito Finanziario S.p.A., member of the International Advisory Council of Allianz group) - Chairman of the Board of Directors and CEO

2. Alberto Pirelli (member of the Board of Directors of Intek Group S.p.A.) - Deputy Chairman of the Board of Directors

3. Anna Maria Artoni (sole Director of Artoni Group S.p.A.) - member of the Board of Directors

4. Luigi Roth (Chairman of Alba Leasing S.p.A.) - member of the Board of Directors

5. Paolo Fiorentino (Chief Operating Officer of UniCredit Group) member of the Board of Directors

6. Gaetano Micciche (Member of the Managing Board of Intesa Sanpaolo banking group) - member of the Board of Directors

7. Igor Sechin (President, Chairman of the Management Board of Rosneft) -member of the Board of Directors

8. Didier Casimiro (Vice President for Commerce and Logistics of Rosneft) - member of the Board of Directors

9. Peter Lazarev (Financial director of Rosneft) - member of the Board of Directors

10. Igor Soglaev (President of SANORS Holding Limited (Novokuibyshevsk Petrochemical Company) - member of the Board of Directors

11. Ivan Glasenberg (Chief executive officer of Glencore International AG) - member of the Board of Directors

12. Andrey Kostin (President and Chairman of the Management Board of VTB) - member of the Board of Directors

13. Elisabetta Magistretti (Member of the Board of Directors of Mediobanca - Banca di Credito Finanziario S.p.A., member of the Board of Directors of Luxottica Group S.p.A.) - member of the Board of Directors

Rosneft strengthens business ties with Pirelli & C. S.p.A. within the already entered engagements and the realization of plans of both companies for the expansion of joint Russian and international projects.
