Decisions of MMK Board of Directors
On February 12, 2010 the Board of Directors of MMK decided on the date of the annual general shareholders' meeting - May 21, 2010. It also approved ZAO "Status" as Company's registrar.
The Board approved of the following agenda for the General Shareholders' meeting:
1. Approval of the Company's 2009 annual report; annual financial statements, including statement of profit and losses; allocation of profit, including dividend payment (declaration), and losses for the financial year 2009
2. Election of members to the Company's Board of Directors
3. Election of members to the Company's Internal Audit Commission
4. Approval of the Company's Auditor
5. Approval of remuneration to the members of the Board of Directors
6. Approval of remuneration to the members of the Company's Internal Audit Commission
7. Approval of amendments and additions to corporate documents regulating the functioning of MMK bodies: "Statute of MMK General Shareholder's meeting", "Statute of MMK Board of Directors"
8. Approval of interested party transactions
The list of persons entitled to participate in the General Shareholders' meeting of the Company's shareholders will be prepared on the basis of the Shareholders' Register as of business close April 02, 2010.
