After having noted certain considerations expressed by existing shareholders andtheir wish to join in the capital increase, the Extraordinary General Meetinghas determined not to proceed with the proposed increase of issued capitalthrough the issuance of shares offered in a private placement. The ExtraordinaryGeneral Meeting recommended that the Board of Directors evaluates thefeasibility of a capital increase reserved for the Company's existingshareholders, and to implement such a capital increase as the Board may deemappropriate in accordance with the Egyptian Companies Law and the EgyptianCapital Markets Law. RESOLUTION 2. In light of Resolution No. 1 above, the Extraordinary General Meeting decidednot to consider items Nos. 2, 3, 4 and 5 of the Agenda. RESOLUTION 3. After due consideration of item no. 6 of the Agenda, the Company's managementhas been authorized to progress the implementation of the change of theCompany's corporate name and to undertake or perform on behalf of the Companyany act or measure necessary or convenient in connection with such change.
