Resolutions of Annual General Meeting

Talvivaara Mining Company Plc (the "Company") is pleased to announce that, at the Annual General Meeting of the Company held at 3:00 pm on 28 April 2009, all the resolutions proposed, as set out in the notice of the meeting to shareholders dated 17 March 2009, were duly passed. The resolutions included:

that the number of Board members remain seven and that Mr. Gordon Edward Haslam, Ms. Eileen Carr and Ms. Saila Miettinen-Lähde, who retire by rotation pursuant to the articles of association, be re-appointed as directors of the Company; 

that article 6.2 of the Company's articles of association, limiting the borrowing powers of the Board of Directors, be amended so that the maximum borrowing powers are defined as an amount higher of the sum of twice the Company's capital and reserves and 600 million euros; and 

that the Board of Directors be authorised to repurchase a maximum of 10,000,000 of the Company's own shares through public trading, and to convey a maximum of 10,000,000 of the Company's own shares, each in deviation of the pre-emptive rights of shareholders.
