No intention to make an offer

THIS IS AN ANNOUNCEMENT FALLING UNDER RULE 2.8 OF THE CITY CODE ON TAKEOVERS AND MEGERS (THE "CODE")

No intention to make an offer regarding RedstoneConnect plc

On 28 September 2017, A P Systems Holdings Ltd ("A P Systems") announced a possible cash and shares offer for RedstoneConnect plc ("RedstoneConnect") under Rule 2.4 of the Code.

A P Systems confirms with regret that RedstoneConnect declined to enter into discussions in relation to the possible offer despite A P Systems putting forward a case of the benefits to be realised by RedstoneConnect's shareholders. Accordingly, A P Systems confirms that it does not intend to make an offer for RedstoneConnect. 

This announcement is made in accordance with Rule 2.8 of the Code. As a result of this announcement, A P Systems (and persons acting in concert with A P Systems) will, except with the consent of the Panel, be bound by the restrictions contained in Rule 2.8 of the Code.
