Headline: Merger with wholly-owned subsidiary

The board of directors of GCP Infrastructure Investments Limited wishes to announce that, as expected, the company has merged with its wholly-owned subsidiary, GCP Infrastructure Asset Holdings Limited, pursuant to Part 18B of the Companies (Jersey) Law 1991 (as amended) on 30 September 2015. The merger was approved by the shareholders of GCP Infrastructure Investments Limited at an extraordinary general meeting on 14 August 2015. GCP Infrastructure Investments Limited will continue as the surviving company from 30 September 2015.
