Issue of Equity

The Company confirms that pursuant to the Agreement to purchase 100% of the Guamanga Project from Inversions Santa Patricia Limitada as announced on 5 June 2013, the Company has today issued 75,982,843 ordinary shares at a price of 0.8225p ("Santa Patricia Shares"). This issue represents equivalent USD$950,000 of Herencia shares at a 20 day volume weighted average price from the date of signing the Agreement.

Furthermore, Nyrstar International B.V., who are Herencia's largest shareholder have exercised their right in accordance with their original investment agreement with Herencia dated 16 April 2010, to subscribe for sufficient shares to maintain their percentage shareholding in the Company, on the same terms as Inversions Santa Patricia Limitada. Accordingly, Nyrstar have today subscribed for 8,474,457 new shares at 0.8225p ("Nyrstar Shares").

Nyrstar now hold185,901,539ordinary shares in the Company representing 10.03% of the issued share capital of the Company.

The Company also confirms that pursuant to the Equity Drawdown Agreement (the "Agreement") with The Australian Special Opportunity Fund, a New York-based institutional investor managed by The Lind Partners announced on 11 March 2013, the Company has drawn down a further USD$287,132. The repayment of this amount has today been satisfied by the issue of 36,528,465 ordinary shares in the Company, at a price of 0.50p ("Tranche Shares").

The total amount currently drawn down under the Agreement is US $1,021,931.

Finally, a further issue of shares to Nyrstar International B.V., is anticipated to be announced shortly.

Application has been made to admit the Santa Patricia Shares, Nyrstar Shares and Tranche Shares to trading on AIM, and it is anticipated that dealings in the Execution Shares will commence on 26 June 2013.

Following the issue of the Santa Patricia Shares, Nyrstar Shares and Tranche Shares the total number of shares in issue is 1,889,415,676. There are no shares held in treasury. Therefore, the total number of voting rights in the Company is 1,889,415,676. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest under the Disclosure and Transparency Rules.
