On 17 October 2014 the Company announced that it had entered into a bindingagreement for the sale of its African assets to Botswana-based BCLInvestments, which is controlled by the Government of Botswana. All of theconditions precedent to the transaction were duly fulfilled. In particular,in September 2016 the last remaining condition precedent was fulfilled whenthe Company obtained the consent of South Africa's Department of MineralResources to proceed with the sale of the 50% interest in the Nkomati JV. The Company provided the buyer with additional time to close thetransaction; however, BCL Investments made no effort to fulfill itsobligations. On 8 October 2016, the Company learned from the media that BCLhad been put into provisional liquidation. Following these developments the Company has decided to defend itsinterests under the transaction in courts with jurisdiction over thematter.
