EMTN Notes

TELEFÓNICA, S.A. as provided in article 82 of the Spanish Stock Market Act (Ley del Mercado de Valores), hereby reports the following

SIGNIFICANT EVENT

Today, TELEFÓNICA, S.A., through its wholly-owned subsidiary TELEFÓNICA EMISIONES, S.A.U., under its Guaranteed Euro Programme for the Issuance of Debt Instruments (EMTN Programme) filed with the Financial Conduct Authority (FCA) in London on June 10th, 2014, has launched an issuance of Notes guaranteed by TELEFÓNICA, S.A. in the Euro market amounting to 800 million euros.

These Notes, due on October 17 th, 2029, pay an annual coupon of 2.932% and have a reoffer price of 100%. The settlement and closing date is scheduled for execution on October 17th, 2014.
