NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

This notification is made in accordance with DTR 3.1.4(1)(a).

On 12 March 2012, Management Consulting Group PLC (the "Company") was notified by BlueGem Delta S.À R.L, a connected person of Mr Capello and Mr Di Spiezio Sardo (each a non-executive director of the Company) as defined under the Model Code (Listing Rules Chapter 9, Annex 1), that it has charged 124,629,895 ordinary shares in the Company, which are indirectly held by BlueGem L.P., as security for a loan by Investec Bank plc.

The transaction took place on 8 March 2012 in London.
