Warner Estate Holdings PLC27 September 2007 Warner Estate Holdings PLC ("the Company") Directors' Shareholding The Company has been advised that 5,000 Ordinary shares of 5p in the Companywere purchased by Brettenham Trust Limited, a company in which both Mr P C TWarner (Chairman of the Company) and Mr R H Warner (a Non-executive Director)have an interest. The shares were purchased on 26 September 2007 at 478.5p pershare. The purchase increases the non-beneficial interest of Mr P C T Warner in theshares of the Company to 9,493,675 shares, representing 16.91 per cent. of theCompany's issued ordinary share capital and increases the non-beneficialinterest of Mr R H Warner in the shares of the Company to 5,717,530 shares,representing 10.18 per cent. of the Company's issued ordinary share capital.
