Notification of Transactions by Directors/Persons Discharging Managerial Responsibility and/or their Connected Persons
Grant of Award under the esure Performance Share Plan ("PSP")
This notification is made in accordance with DTR 3.1.4(1).
On 25 March 2015, Awards over ordinary shares in esure Group plc (the "Company") were made to the following executive directors under the esure Performance Share Plan 2013:

No consideration was paid for the grant of the Awards, which are structured as conditional awards.
The vesting of the Awards is subject to the satisfaction of performance conditions set by the Remuneration Committee of the Company. The Awards will normally vest on the later of the third anniversary of grant and the determination of the performance conditions.
The Company was informed of the above transactions on 25 March 2015.
