Pursuant to paragraph 6.6.7 of the Listing Rules, Kingspan Group plc hereby notifies the following in relation to Mr Gilbert McCarthy, who was appointed an executive director of the Company with effect from 1 September 2011:

(a) in the last five years Mr. McCarthy has not been a director of any publicly quoted company;

(b) there are no disclosures required to be made pursuant to Rules 6.6.7 (2) to (6) of the Listing Rules.

Mr McCarthy holds an interest in 105,329 ordinary shares in the Company, as well as 105,436 Ordinary Share Options at an average exercise price of €11.84 and 106,800 Performance Share Plan Awards.
