Significant event to be reported:

· Extension of natural gas sales contract concluded with S.C. Electrocentrale Bucuresti S.A.

During the Board of Directors Meeting held on January 28, 2016, S.N.G.N. ROMGAZ S.A. Board decided to continue the commercial relations with Electrocentrale Bucuresti S.A by extending the natural gas sales contract no. 34/2015, by means of signing an addendum for the period 01-29 February 2016. The addendum shall have the same contractual provisions as those provided in contract no.34/2015 and in addendum no.2/2015 to said contract.

Also, the Board of Directors:

ü Approves the conclusion of a rescheduling agreement for a part of the debt owed by Electrocentrale Bucuresti S.A concurrently with concluding a contract securing a first ranking mortgage on the immovable properties proposed by Electrocentrale Bucuresti S.A in December 2015. The amount for which the rescheduling agreement is to be concluded depends on the value of the immovable properties upon which a first ranking mortgage can be secured.

ü Assigns the executive management of S.N.G.N. ROMGAZ S.A. to take further steps in order to conclude a rescheduling agreement for the rest of the debt conditional upon obtaining guarantees pursuant to the Decision nr.23/2015 of S.N.G.N. ROMGAZ S.A. Board of Directors.
