Cancellation of Share Premium Account

At the General Meeting of the Company held on 14 December 2015, special resolutions were passed approving the cancellation of all amounts standing to the credit of the Company's share premium account (the "Cancellation") following and conditional upon: (i) the admission of the Company's ordinary shares to trading on the London Stock Exchange plc's Specialist Fund Market, which took place on 23 December 2015; and (ii) the approval of the Cancellation by the Companies Court of the Chancery Division in the High Court of Justice (the "Court").

Following the approval of the Court and the subsequent registration of the Court order with the Registrar of Companies on 21 March 2016, the Cancellation has now become effective. Accordingly, the £99,900,000 previously held in the share premium account has been transferred to the distributable reserves of the Company.
