Announce the Listing of New Shares via RSA

To Announce the Listing of New Shares by Issuing Restricted Stock Awards ("RSA") to Key Employees

1. The issuance of RSA for 50,000,000 new common shares, resolved by the Company's AGM on June 18, 2014, is formally being listed on October 17, 2014 with approval of per Order No. Financial-Supervisory-Securities-Issue 1030034283 of the Financial Supervisory Commission, Executive Yuan dated August 26, 2014 and registered by per Order No. Economic-Authorization-Commerce 10301190170 of the Department of Commerce, MOEA on September 18, 2014, and approved by Taiwan Stock Exchange.

2. New shares issuance of RSA information is as follows:

i. Original outstanding shares:

2,779,107,828 common shares are equivalent to NTD 27,791,078,280 at par value of NTD 10.

ii. Newly issuing shares:

17,460,000 common shares are equivalent to NTD 174,600,000 at par value of NTD 10.

iii. Accumulated outstanding shares:

2,796,567,828 common shares are equivalent to NTD 27,965,678,280 at par value of NTD 10.

iv. Rights and obligations of new common shares:

The rights and obligations of new common shares of RSA are restricted from those of original

outstanding shares until the employees accommodate with the vesting conditions under the

issuance rule of RSA.
