ECOFIN WATER & POWER OPPORTUNITIES PLC (the "Company")

The Company confirms that at today's Annual General Meeting ("AGM") all resolutions set out in the Notice of the Meeting were duly passed.

A copy of all resolutions passed as Special Business at the AGM has been submitted to the National Storage Mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do.

Details of the number of proxy votes cast for, against and withheld on each resolution, as well as a copy of the Investment Manager's presentation given at the Meeting, are available on the Investment Manager's website at www.ecofin.co.uk.
