ArmorGroup International plc ("ArmorGroup" or the "Company")

Adjournment of AGM

On 7 May, the Company announced that as a result of the recommended offer for the Company by G4S (March 2008) Limited being declared wholly unconditional it was the Company's intention to adjourn its Annual General Meeting until a later date. At the meeting held today and in accordance with Article 52(A) of the Company's Articles of Association an adjournment motion was proposed and carried and the meeting is accordingly adjourned until a future unspecified date, time and place to be fixed by the directors.
