Application for Listing

Application has been made to the UK Listing Authority and the London Stock Exchange for admission to (i) the Official List and (ii) trading on the London Stock Exchange's markets of 75,703 SDL PLC Ordinary Shares of 1p each ("New Ordinary Shares").

The New Ordinary Shares, which will rank pari passu in all respects with the existing ordinary shares in issue, will be issued to satisfy the earn out requirements of the acquisition of Alterian plc (now Alterian Ltd) as per the circular dated 14 December 2011.

It is expected that admission will become effective on 3 September 2012.
