St James’s Place plc – Additional Listing

10th December 2015

Applications have been made to the Financial Conduct Authority and the London Stock Exchange for a total of 2,437 ordinary shares of 15 pence each credited as fully paid (the “Shares”) in St James’s Place plc (the “Company”), to trade on the London Stock Exchange and to be admitted to the Official List.

The Shares will be issued to a member of the management team of Henley Wealth Management International Pte. Ltd in satisfaction of the deferred consideration due under the terms of the acquisition of that business by the Company in June 2014.

It is expected that admission will be effective on 11th December 2015. When issued, the Shares will rank pari passu in all respects with the Company’s existing ordinary shares.
