Director/PDMR Dealing
The Company announces that 5,305 new ordinary shares of 0.2p each ("Ordinary Shares") in the Company were allotted and issued on 27 April 2020.
Under the Company's remuneration policy, a proportion of the Non-Executive Directors' annual fee is paid in the form of Ordinary Shares in lieu of cash, except if a NED has an existing substantial shareholding. Accordingly, the Company has approved the allotment and issue of 5,305 new Ordinary Shares as follows:
· 758 new Ordinary Shares representing a value of £5,000* to Ms Rosemary Leith
· 758 new Ordinary Shares representing a value of £5,000* to Mr Ashley Martin
· 758 new Ordinary Shares representing a value of £5,000* to Ms Andrea Newman
· 3,031 new Ordinary Shares representing a value of £20,000* to Mr Roger Parry
(*Based on a closing price of 660p as at 24 April 2020, being the previous business day.)
Following this issue, the shareholdings of these NEDs will be as follows:
· Ms Leith will hold 13,027 Ordinary Shares (representing approximately 0.01% of the Company's total issued share capital).
· Mr Martin will hold 7,499 Ordinary Shares (representing approximately 0.007% of the Company's total issued share capital).
· Ms Newman will hold 3,156 Ordinary Shares (representing approximately 0.003% of the Company's total issued share capital).
· Mr Parry will hold 109,987 Ordinary Shares (representing approximately 0.1% of the Company's total issued share capital).
Application has been made for the admission of these new Ordinary Shares to trading on AIM with admission anticipated to be on 1 May 2020.
The total number of Ordinary Shares with voting rights in issue following the issue of these new Ordinary Shares is 108,424,485. No Ordinary Shares are held in treasury. The above figure includes 741,152 Ordinary Shares that are held by the YouGov Employee Benefit Trust in order to satisfy awards under the Company's employee share schemes. Shareholders may use the figure of 107,683,333, as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Group under the Financial Conduct Authority's Disclosure and Transparency Rules.
