Director/PDMR Dealing and Total Voting Rights
YouGov, the international research and data analytics group, announces that on 20 April 2021 the Company approved the allotment and issue of 5,395 new ordinary shares of 0.2p each ("Ordinary Shares").
Under the Company's remuneration policy, a proportion of the Non-Executive Directors' annual fee is paid in the form of Ordinary Shares in lieu of cash, except if a Non-Executive Director has an existing substantial shareholding. Accordingly, the Company has approved the allotment and issue of 5,395 new Ordinary Shares as follows:
· 1,471 new Ordinary Shares representing a value of £15,000* to Ms Rosemary Leith
· 491 new Ordinary Shares representing a value of £5,000* to Mr Ashley Martin
· 491 new Ordinary Shares representing a value of £5,000* to Ms Andrea Newman
· 2,942 new Ordinary Shares representing a value of £30,000* to Mr Roger Parry
(*Based on a closing price of 1020p as at 19 April 2021, being the previous business day.)
Following this issue, the shareholdings of these Non-Executive Directors will be as follows:
· Ms Leith will hold 14,498 Ordinary Shares (representing approximately 0.01% of the Company's total issued share capital).
· Mr Martin will hold 7,990 Ordinary Shares (representing approximately 0.007% of the Company's total issued share capital).
· Ms Newman will hold 3,647 Ordinary Shares (representing approximately 0.003% of the Company's total issued share capital).
· Mr Parry will hold 112,929 Ordinary Shares (representing approximately 0.1% of the Company's total issued share capital).
Application has been made for the admission of these new Ordinary Shares to trading on AIM with admission anticipated to be on 26 April 2021.
The total number of Ordinary Shares with voting rights in issue following the issue of these new Ordinary Shares is 111,257,202. No Ordinary Shares are held in treasury. The above figure includes 601,282 Ordinary Shares that are held by the YouGov Employee Benefit Trust in order to satisfy awards under the Company's employee share schemes. Shareholders may use the figure of 110,655,920, as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Group under the Financial Conduct Authority's Disclosure and Transparency Rules.
