Warner Estate Holdings PLC01 September 2006 Warner Estate Holdings PLC ("the Company") Shareholdings of Directors and PDMRs Messrs. P C T Warner, P W Collins and R Moore, Directors of the Company, eachpurchased 36 Ordinary shares in the Company and Mr M J Stevens, a Director ofthe Company, purchased 34 Ordinary shares in the Company on 1 September 2006 at718p each under the Company's All Employee Share Ownership Plan ("the AESOP").Messrs. P C T Warner, P W Collins and R Moore purchased 18 of their shares asPartnership shares and 18 shares each were purchased by the Company as MatchingShares under the rules of the AESOP. Mr M J Stevens purchased 17 of his sharesas Partnership Shares and 17 shares were purchased by the Company as MatchingShares under the rules of the AESOP. All shares were purchased on their behalfby Capita IRG Trustees Limited, the Trustee of the AESOP. The Trustee will holdthe Shares in Trust for a minimum period of five years following the date of thepurchase. The shares purchased represent less than 0.001 per cent. of theCompany's issued ordinary share capital.
