Warner Estate Holdings PLC31 October 2006 Warner Estate Holdings PLC ("the Company") Shareholdings of Directors and PDMRs Messrs. P C T Warner, P W Collins and M J Stevens, Directors of the Company,each purchased 32 Ordinary shares in the Company today at 776p each under theCompany's All Employee Share Ownership Plan ("the AESOP"). Each Directorpurchased 16 of their shares as Partnership Shares and 16 shares each werepurchased by the Company as Matching Shares under the rules of the AESOP. Allshares were purchased on their behalf by Capita IRG Trustees Limited, theTrustee of the AESOP. The Trustee will hold the Shares in Trust for a minimumperiod of five years following the date of the purchase. The shares purchasedrepresent less than 0.001 per cent. of the Company's issued ordinary sharecapital. Messrs. D JLanchester, K R Meade and V B Vaghela purchased 16 of their shares asPartnership Shares and 16 shares each were purchased by the Company as MatchingShares under the rules of the AESOP. Mr M D Ovens purchased 17 of his shares asPartnership Shares and 17 shares were purchased by the Company as MatchingShares under the rules of AESOP. All shares were purchased on their behalf byCapita IRG Trustees Limited, the Trustee of the AESOP.
