Statement re: Possible Offer

Further to the announcement made yesterday by Bramlin Limited ("Bramlin"), VOG confirms that it is in preliminary discussions which may or may not lead to a recommended all-share offer being made by VOG for the entire issued ordinary share capital of Bramlin. 

There can be no certainty that a formal offer will be made or as to the terms on which such an offer will be made.

A further announcement will be released as and when appropriate.

In accordance with Rule 2.10 of the City Code on Takeovers and Mergers, VOG confirms that, as at the close of business on 23 September 2008, VOG's issued share capital consisted of 275,669,411 ordinary shares of 0.5p each. The ISIN code for VOG's ordinary shares is GB00B01R0Y35. 

Dealing Disclosure Requirements

Under the provisions of Rule 8.3 of the City Code, any person who, alone or acting together with any other person(s) pursuant to an agreement or understanding (whether formal or informal) to acquire or control relevant securities of VOG, owns or controls, or becomes the owner or controller of, directly or indirectly, one per cent. or more of any class of securities of VOG is required to disclose, by not later than 12.00 noon (London time) on the London business day following the date of the relevant transaction, dealings in such securities (or in any option in respect of, or derivative referenced to, any such securities) during the period to the date on which the Offer becomes or is declared unconditional as to acceptances or lapses or is otherwise withdrawn.

Under the provisions of Rule 8.1 of the City Code, all dealings in relevant securities of VOG by Bramlin or VOG, or by any of their respective "associates" (within the meaning of the City Code), must also be disclosed.

The definition of "interest in securities" in Rule 8 in certain circumstances will include contracts for differences (and other cash settled derivatives) and will apply to any person who is interested in one per cent. or more of any class of relevant securities of VOG. The timing for public disclosure of such interests will be extended to 3.30 p.m. (London time) on the London business day following the date of the relevant transaction.
