Additional Listing and Directors' Share Interests

Victoria Oil & Gas Plc (AIM:VOG) the oil and gas development company announces that on 7 October 2008 it allotted, conditional on admission, a further 8,837,390 ordinary shares of 0.5 pence each in the Company ("Ordinary Shares").

Of these, 8,000,000 Ordinary Shares have been issued in lieu of cash payment to advisers in connection with the equity fundraising completed by the Company earlier this year and 837,390 to employees and Directors in lieu of cash salary. The shares to employees and Directors were issued in accordance with their employment contacts at a weighted average month-end market price of 16 pence for the six month period ended 31 July 2008. The shares issued to Directors also included outstanding entitlements for the twelve month period ended 31 January 2008.

These share allotments rank pari passu in all respects with the existing issued Ordinary Shares in the Company. Application has been made to the London Stock Exchange for these shares to be admitted to AIM and it is expected that dealings will commence on 13 October 2008. The total issued share capital of VOG following this allotment will be 284,506,801 shares, which includes a downward adjustment of 3,847 shares pending allotment. The Company does not hold any ordinary shares in treasury and so the total number of voting rights in the Company is 284,506,801.

The effect of the above on the holdings of the Directors is as follows:-

1 The shares are held by H J Resources Ltd on behalf of a discretionary trust, of which Mr Foo and his wife are possible beneficiaries.
