Vietnam Infrastructure Limited (the "Company")
Update to Forum One-VCG Vietnam Partners Fund ("VVF")
Pursuant to the restructuring proposals described in previous announcements (the "Proposals"), the holders of the Company's Listed Portfolio Shares (AIM: VNIL) are able to participate in two tender offers, wherein the Company will repurchase the Listed Portfolio Shares at a discount to the then current Net Asset Value per Share of the Listed Portfolio Shares from the tendering holders of Listed Portfolio Shares and in exchange for the repurchase, the Company will transfer Class A VVF Shares to the tendering holders of Listed Portfolio Shares.
Tendering holders who have received Class A VVF Shares during the First Repurchase Day and tendering holders who will receive Class A VVF Shares during the Second Repurchase Day and Final Date can redeem all or part of their shareholding by applying to redeem their Class A VVF Shares in accordance with the requirements set out in the Forum One prospectus, VVF data sheet and VVF investor pack. For this reason, the Company would like to inform the tendering holders who have received / will receive Class A VVF Shares that the following changes to VVF Class A Shares have become effective on 1 October 2015:
· ISIN: The ISIN code for Class A Shares is LU1163030197.
· Type of Investors: Class A Shares have been restricted to existing holders of the Listed Portfolio Share class (AIM: VNIL) of Vietnam Infrastructure Limited; external investors may subscribe to the Class A Shares at the discretion of the Investment Manager.
· Minimum Holding / Minimum Initial Subscription Requirement: The minimum holding requirement and minimum initial subscription amount may be waived by the Investment Manager at its discretion.
· Subscription Day / Subscriptions: Investors may subscribe in VVF on each Valuation Day, or the following Valuation Day if such day is not a Valuation Day. A Valuation Day is each business day in Luxembourg and Vietnam with the exception of Good Friday, 24 December (Christmas Eve) and any other day on which the stock exchanges in Vietnam are closed. Details on the Subscription Day are summarized in Section XIV of the VVF data sheet in the Forum One prospectus.
Subscription forms must be received by Edmond de Rothschild Asset Management (Luxembourg) (in its capacity as administrative agent) by 6 pm Luxembourg time two (2) business days prior to the relevant Valuation Day. The subscription price is payable within one (1) business day of the actual Valuation Day. Details on the Subscription process are summarized in Section XVI of the VVF data sheet in the Forum One prospectus.
· Redemption Day / Redemptions: Investors in VVF may redeem their shares each Valuation Day, or the following Valuation Day if such day is not a Valuation Day. A Valuation Day is each business day in Luxembourg and Vietnam with the exception of Good Friday, 24 December (Christmas Eve) and any other day on which the stock exchanges in Vietnam are closed. Details on the Redemption Day are summarized in Section XV of the VVF data sheet in the Forum One prospectus.
Redemption forms must be received by Edmond de Rothschild Asset Management (Luxembourg) (in its capacity as administrative agent) by 6 pm Luxembourg time three (3) business days prior to the relevant Redemption Day. The redemption price will be paid within three (3) business days of the relevant Redemption Day. Details on the Redemption process are summarized in Section XVII of the VVF data sheet in the Forum One prospectus.
