Additional Listing & Total Voting Rights
Verseon, a technology-based pharmaceutical company, announces that application has been made for 19,117 new Common Shares of par value $0.001 each (the "Common Shares") to be admitted to trading on AIM pursuant to regularly scheduled vesting of the restricted stock units (the "Issuance"). The Issuance is in connection with the Verseon Corporation 2015 Equity Incentive Plan and pursuant to the regularly scheduled vesting of previously granted restricted stock units.
Of the 19,117 Common Shares issued, 7,010 Common Shares have been issued to Dr. Thomas Hecht, Non-Executive Chairman of the Company, in relation to payment of his Director's fees in the form of restricted stock as has been previously disclosed, totalling 28,037 Common Shares vesting quarterly in equal proportions over a one year period. Following Admission, Dr. Hecht will hold 45,328 Common Shares, representing 0.030% of the Company's issued share capital.
Of the 19,117 Common Shares issued, 7,732 Common Shares have been issued to Grover Wickersham, Non-Executive Director of the Company, in relation to payment of his Director's fees in the form of restricted stock as has been previously disclosed, totalling 15,463 Common Shares vesting quarterly in equal proportions over a 6 month period. Following Admission, Mr. Wickersham will hold 15,463 Common Shares, representing 0.010% of the Company's issued share capital
The 19,117 new Common Shares issued pursuant to the Issuance will rank pari passu with the Company's existing Common Shares and admission to trading on AIM is expected to take place on 5 May 2017 ("Admission").
Total Voting Rights
Following Admission, the issued share capital of the Company will consist of 151,452,891 Common Shares. The Company does not hold any shares in treasury. Therefore the total number of Common Shares in the Company with voting rights will be 151,452,891. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
