Tender Offer & Offer for issue of Ordinary Shares
On 3 February 2012, the Company published a Circular in respect of (i) a Tender Offer to purchase up to 12,000,000 ordinary shares from existing shareholders and (ii) an Offer for the issue of up to £15,000,000 of ordinary shares of 25p each of the Company.
The Directors of the Company are pleased to announce that on 3 April 2012 in accordance with the terms of the Tender Offer and Offer:
·; A total of 90,000 ordinary shares were purchased for cancellation at a price of 100.0p per ordinary share.
·; A total of 88,293 ordinary shares of 25p each in the Company were allotted in respect of the shares tendered for cancellation at a price of 105.5p per ordinary share.
The Directors of the Company are also pleased to announce that on 3 April 2012 in accordance with the terms of the Offer, a total of 43,196 ordinary shares were allotted at a price of 105.5p per ordinary share.
Following the cancellation and allotments described above, the issued share capital of the Company is 16,307,547 ordinary shares and 11,329,107 "C" shares.
Application will be made for the admission of the 131,489 ordinary shares to the premium segment of the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities.
