Result of General Meeting

Capital Reorganisation and Admission of New Ordinary Shares

Asia Digital Holdings plc, announces that all resolutions put to the General Meeting held today were duly passed.

In particular, the disposal of selected business assets of DGM Asia Pacific Pte. Ltd ("DGM Singapore Assets"), a capital reorganisation (the "Capital Reorganisation") and the Investing Policy for the Company going forward as an Investing Company, details of which were contained in the Circular to shareholders dated 2 May 2012 (the "Circular"), have been approved.

As a result of the Capital Reorganisation, each of the Company's existing ordinary shares of 0.1 pence each ("Existing Ordinary Shares") have been sub-divided into one new ordinary share of 0.001 pence ("New Share") and 99 new deferred shares of 0.001 pence ("New Deferred Shares") and the New Shares have then been consolidated into new ordinary shares of 0.1 pence ("New Ordinary Shares") on the basis of 1 New Ordinary Share for every 100 New Shares.

The New Ordinary Shares will have the same rights and entitlements (including as to voting, dividends and return of capital) as the Existing Ordinary Shares.

New share certificates representing the New Ordinary Shares will be issued to certificated shareholders by 11 June 2012 and CREST accounts will be credited with the New Ordinary Shares on 29 May 2012. No certificates will be issued in respect of the New Deferred Shares.

Application has been made to the London Stock Exchange for the New Ordinary Shares to be admitted to trading on AIM. Admission of the New Ordinary Shares to trading on AIM is expected to take place on 29 May 2012.
