Non-Executive Directors' Compensation in Shares
The Board of Velti plc agreed on 23 June 2009 that the Non-Executive Directors will receive 60% of their compensation for the period May 2009 to April 2010 in the Company's Ordinary 5p shares.

Application will be made to the London Stock Exchange for the 72,013 new Ordinary 5p Shares in the Company to be admitted to trading on AIM. The total number of Ordinary 5p Shares in issue post-admission will be 34,835,261.
Each director's holding post the issue of these shares will be:

Jerry Goldstein 404,419
The shares have been issued at 154.3p, the average of the closing mid market share price for the 30 days prior to 23 June 2009.
