Termination of Offer Talks

On 24 January 2014 Uvenco UK confirmed that it was in early stage discussions with the board of SnackTime plc ("SnackTime") regarding a possible offer to be made for the entire issued and to be issued share capital of SnackTime.

Since that date, Uvenco UK has been engaged in discussions with SnackTime. Unfortunately these discussions have not led to an agreement to proceed with a formal offer and accordingly talks have now terminated.

Under Rule 2.8 of the City Code on Takeovers and Mergers (the "Code"), Uvenco UK, and any person deemed to be acting in concert with it, is restricted from announcing an offer or possible offer for SnackTime (and/or taking any other action which could otherwise be restricted under Rule 2.8 of the Code) within the next six months following the date of this announcement except in the circumstances set out in Note 2 to Rule 2.8 of the Code.

Arden Partners plc, which is authorised and regulated in the United Kingdom by the Financial Conduct Authority, is acting exclusively for Uvenco UK Limited and no-one else in relation to the Possible Offer and will not be responsible to anyone other than Uvenco UK Limited for providing the protections afforded to the clients of Arden Partners plc or for providing advice in relation to the Possible Offer or in relation to the contents of this announcement or any transaction or arrangement referred to herein. Neither Arden Partners plc, nor any of its subsidiaries, branches or affiliates owes or accepts any duty, liability or responsibility whatsoever (whether direct or indirect, whether in contract, in tort, under statute or otherwise) to any person who is not a client of Arden Partners plc in connection with the Possible Offer.
