As part of the terms of Philip Green's recruitment, a matched share incentive scheme was established for him as sole participant provided he remains with the group until 12 February 2011.

As part of the terms of Tim Weller's recruitment, a matched share incentive scheme was established for him as sole participant provided he remains with the group up to and beyond the implementation of the next regulatory reviews.

In order to facilitate the retention of Charlie Cornish up to and beyond the next regulatory reviews, a special long-term incentive scheme was established for him as sole participant. The award is subject to performance conditions.

The figures shown below reflect the maximum number of shares over which an award may vest as at today's date and before any adjustment made for dividends during the balance of the period prior to vesting.
