UNITED UTILITIES GROUP PLC 1 JULY 2014 DEFERRED SHARE AWARD SCHEME The following award was granted today for nil consideration pursuant to therules of the United Utilities Group PLC Deferred Share Award Scheme 2008 (`thescheme') as approved by the board on 25 November 2008. The award was calculatedusing the market price at the close of trading on the London Stock Exchange on30 June 2014 of £8.750 per share. Under the terms of the scheme, awards (whichare structured as options to acquire shares in the company with a zero exerciseprice) will be satisfied at the end of the vesting period by using sharespurchased in the market. Newly issued or treasury shares cannot be used tosatisfy awards under this plan. Directors of the company cannot participate inthe scheme. Under the rules, the awards are subject to uplift for notionaldividends made or paid during the vesting period. The awards will normallybecome capable of exercise after the end of the vesting period and must beexercised within 90 days thereafter. The award will lapse should theparticipant cease to be an eligible employee.
