Covidien UK Holding Ltd02 April 2008 THIS NOTICE IS NOT FOR RELEASE, PUBLICATION OR DISTRIBUTION IN WHOLE OR IN PARTIN, INTO OR FROM ANY JURISDICTION WHERE TO DO SO WOULD CONSTITUTE A VIOLATION OFTHE RELEVANT LAWS OR REGULATIONS OF SUCH JURISDICTION FOR IMMEDIATE RELEASE 2 April 2008 Delisting of shares in Tissue Science Laboratories plc and change of Tissue Science Laboratories Directors and Officers Tissue Science Laboratories plc ("Tissue Science Laboratories") notes theannouncement by Covidien UK Holding Ltd, a wholly owned subsidiary of CovidienLtd, that the Offer (the "Offer") to acquire the issued and to be issuedordinary share capital of Tissue Science Laboratories has now become effectivein accordance with its terms. In accordance with the delisting process outlinedin the offer document sent to Tissue Science Laboratories shareholders on 12March 2008 (the "Offer Document"), Tissue Science Laboratories has applied tothe London Stock Exchange for the cancellation of admission to trading on AIM ofTissue Science Laboratories shares. It is expected that this will occur on 1May 2008, 20 business days following the date of this announcement. Furthermore, in accordance with the Offer Document, all the Directors and theSecretary of Tissue Science Laboratories have resigned as Directors and theSecretary respectively, with immediate effect. Lawrence Weiss, MichelangeloStefani and John Kapples have been appointed as Directors with immediate effectand Jo Pascucci has been appointed as the Secretary with immediate effect.
