Shareholder Return and Business Update
ThinkSmart Limited (AIM: TSL), a specialist digital payments platform business, is pleased to confirm that the return of capital of 4.575 cents per share, approved by shareholders at the 2020 AGM, together with the special dividend of 1.525 cents per share, have today been paid to shareholders.
In the past 12 months ThinkSmart has returned a total of 11.7 cents per share (equivalent to 6.51 pence per share) by way of capital return (of 8.175 cents / 4.55 pence) and special dividends (of 3.525 cents / 1.96 pence) to shareholders. As such, in accordance with the ThinkSmart Long Term Incentive Plan 2016 (the LTIP), the ThinkSmart Remuneration and Nomination Committee has made an adjustment to the 1,757,352 outstanding LTIP Awards granted in December 2016 to reduce the exercise price of the LTIP by 4.55 pence from 22 pence to 17.45 pence per share, to take into account those capital returns made to shareholders. Of the 1,757,352 share option awards granted in December 2016 in accordance with the LTIP, 1,073,863 were granted to Ned Montarello and 470,659 were granted to Gary Halton.
The Group also notes the trading update issued by Afterpay Ltd on 2 December 2020 where it reported that its UK division, Clearpay, delivered c. $200 million of underlying sales in November 2020, in what was a record month for Afterpay. This represented c10% of Afterpay's global underlying sales for the month, up from 7% in the 3 months to 30 September 2020.
The Directors believe that the continued growth and trading momentum of Afterpay, and the continued increase in the proportion of Afterpay's global underlying sales delivered by Clearpay UK, is beneficial to the value of ThinkSmart's 10%* shareholding in Clearpay UK.
*Inclusive of up to 3.5% of the share capital of Clearpay which is being made available to the Clearpay UK employee share ownership scheme
