Notification of transactions of persons discharging managerial responsibility in accordance with DTR 3.1.4R(1)(a)

In accordance with DTR 3.1.4R, Tribal Group plc announces that it was notified (in accordance with DTR 3.1.2R) that the following directors of the Group, PDMRs and/or their connected persons have taken up nil paid rights in respect of the Group's ordinary shares of 5 pence each pursuant to transactions effected in London in accordance with the terms of the Group's 1 for 1 rights issue at 22 pence per new share announced on 16 March 2016 (the "Rights Issue").

The Group has been notified that the following directors of the Group, PDMRs and/or their connected persons have taken up their nil paid rights in transactions which occurred between 4 April and 18 April 2016:

As contemplated in the prospectus published by the Group on 16 March 2016 in connection with the Rights Issue, each director of the Group has taken up in full or in part his or her rights to subscribe for new shares under the Rights Issue, including in relation to any of their shares which are held in trust or with nominees.

A further announcement regarding the subscription for new ordinary shares representing nil paid rights validly taken up in accordance with the terms of the Rights Issue (by all Qualifying Shareholders, including the above mentioned PDMRs) will be made following the closing of the Rights Issue.
