Total Voting Rights

The following notification is made in accordance with the UK Financial Conduct Authority Disclosure Guidance and Transparency Rule 5.6.1.

Time Out Group plc (AIM: TMO), the global media and entertainment business, announces that following the issue of 178,579 new ordinary shares under its block listing facility during the month ended 29 June 2018, the total issued share capital of the Company consisted of 133,541,468 ordinary shares of 0.1 pence each. The Company does not hold any ordinary shares in Treasury.

The total number of voting rights in the Company is therefore 133,541,468. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
