Notifications of Transactions of Directors / Persons Discharging Managerial Responsibility and Connected Persons

Telecom Plus PLC received notification on 4 August 2014 that Mr Chris Houghton, Finance Director, who is leaving the Company in October, exercised options granted under the 2007 Employee Share Option Plan (the "Plan") over 91,200 ordinary shares of 5p each ("Ordinary Shares") on 4 August 2014. Of these, 41,200 were at an exercise price of 340p per Ordinary Share and 50,000 were at an exercise price of 278p per Ordinary Share. In accordance with the rules of the Plan, the Company elected to satisfy these options by transferring 71,521 Ordinary Shares to Mr Houghton, representing the value of the gain made on these options at the current market price for Ordinary Shares.

Following the exercise of these options, Mr Houghton sold 71,521 Ordinary Shares on 4 August 2014 at 1400 pence per Ordinary Share.

In addition to the above transactions, on 4 August 2014 Mr Houghton also exercised options granted under the 2007 Employee Share Option Plan (the "Plan") over 8,800 Ordinary shares at an exercise price of 340p per Ordinary Share. Mr Houghton has retained the Ordinary shares resulting from this transaction and therefore holds an interest in 8,800 Ordinary Shares, representing approximately 0.0001 per cent. of the total voting rights in the Company.
