Telecom Plus PLC ("Telecom Plus" or the "Company")

Additional Listing and Total Voting Rights

Telecom Plus PLC (LSE:TEP) announces that application has today been made to the UK Listing Authority ("UKLA") and the London Stock Exchange for the listing of 195,427 ordinary shares of 5p each fully paid ("Ordinary Shares"), to trade on the London Stock Exchange and be admitted to the Official List of the UKLA. It is expected that admission of these Ordinary Shares will become effective on 9 January 2012 ("Admission"). These Ordinary Shares will rank pari passu with the existing issued Ordinary Shares of the Company.

The Admission relates to new ordinary shares which will be allotted to Npower Limited in accordance with the approval duly granted by shareholders at the Company's Annual General Meeting held on 13 July 2011.

Following this Admission, the total number of Ordinary Shares (excluding those held in treasury) in the Company will be 70,176,748, with 6,807 shares held in treasury.

The total number of voting rights in Telecom Plus will therefore be 70,176,748. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Telecom Plus, under the Disclosure and Transparency Rules.

There are 500,000 ordinary shares of 5 pence each in Telecom Plus held in the Telecom Plus JSOP Share Trust on which voting rights have been waived. These shares are included in the above total voting rights figure.
