Cesky Telecom A.S.22 September 2005 PRESS RELEASE - 22. 9. 2005 PERSONEL CHANGES OF THE TOP MANAGEMENT With respect to her previous decision to leave the office of Chief FinancialOfficer of Eurotel Praha, spol. s r.o. due to family reasons, MarcelaMalivankova resigns from both statutory offices she holds in CESKY TELECOMGroup, i.e. from the office of a member of the Board of Directors of CESKYTELECOM, a.s. and from the office of Statutory Representative of Eurotel Praha,spol. s r.o. "Marcela, during her four years with Eurotel Praha culminating withher appointment to Chief Financial Officer position in 2004 proved herself to bethe top performance professional and contributed tremendously to excellentresults of Eurotel and successful completion of privatisation of CESKY TELECOMGroup. We nevertheless understand and respect her decision and wish her all thebest in her personal and future professional life," said Jaime Smith, ChiefExecutive Officer and Chairman of the Board of CESKY TELECOM. Upon her agreement with the bodies of both companies Marcela Malivankova isgoing to carry on her duties till 15 October 2005. By mid October 2005, sheshall be replaced in the statutory bodies of CESKY TELECOM and Eurotel by thecurrent Chief Corporate Development Officer of CESKY TELECOM, Ramon Ros, whomthe Supervisory Board elected to the office of a member of the Board ofDirectors of CESKY TELECOM, and whom the Board of Directors, incumbent theoffice of Eurotel's general meeting, appointed as Statutory Representative ofEurotel. In addition to that Ramon Ros wIll assume the position of Eurotel's nChief Financial Officer. In order to optimise the corporate governance of CESKY TELECOM, the Board ofDirectors decided to increase the number of Eurotel's Statutory Representativesfrom three to four, and based on the consent provided by the Supervisory Board,Stanislav Kura, Eurotel's Director of Broadband Services, has been appointed asthe fourth Eurotel's Statutory Representative. Due to the same purposes the Board of Directors has the intention before the endof the year to propose to CESKY TELECOM's shareholders to increase the numberof the Board of Directors' members from five to seven, and to make otheramendments to the company's Articles of Association enhancing the current modelof CESKY TELECOM corporate governance. Fernando Astiaso Lain, Vice President -Chief Commercial Officer of CESKY TELECOM, and Martin Bek, Eurotel's ChiefOperating Officer, will be proposed as new members of the Board of Directors.Extension of the Board of Directors shall contribute to the enhancement ofeffectivity of this statutory body of CESKY TELECOM's, namely in the commercialand operating areas. As from 1 October 2005, also the organization structure of CESKY TELECOM andEurotel will be changed. The changes concern arrangement of the Marketing andSales Units of the Group. The new arrangement puts more emphasis oncustomer-orientation, and will make it possible to concentrate more on thespecific needs of customers. His pastimes includemountaineering, diving, golf, and travelling. Stanislav Kura Stanislav Kura has been appointed a Broadband Services Director at Eurotel onApril 1, 2005. Before joining Eurotel he served as a manager at McKinsey &Company for seven years, active in the telecommunications industry in a numberof countries. He also worked as a manager for UNISYS and Idom (the DeloitteTouche group). Stanislav Kura graduated from the Brno Technical University'sSchool of Civil Engineering, then studied project management at the CranfieldInstitute of Technology, and finally received his MBA degree from the LondonBusiness School. He speaks Czech, English and Russian, is married with twochildren, and his favorite pastimes include sports, photography and travelling.
