TEESLAND ADVANTAGE PROPERTY INCOME FUND LIMITED (THE "COMPANY")
RESULT OF ANNUAL GENERAL MEETING
In accordance with the provisions of D.2.2 of the Combined Code on Corporate Governance, the Company advises that for the Annual General Meeting held on 27 May 2008 valid proxy appointments were made in respect of 29,330,636 voting shares and voting was as follows:
IT WAS RESOLVED to receive the Report of the Directors and the audited financial statements for the year ended 31 December 2007. [27,197,627 votes cast in favour, 1,921,521 votes cast against and 220,488 votes withheld].
IT WAS RESOLVED to reappoint Ernst & Young LLP as Auditors to the Company, to hold office from the conclusion of this meeting until the conclusion of the next Annual General Meeting, and to authorise the directors to determine their remuneration. [29,330,636 votes cast, all in favour].
IT WAS RESOLVED to re-elect Mr Nicholas Renny a director. [29,330,636 votes cast, all in favour].
IT WAS RESOLVED to renew the authority of the Company for the purposes of the Companies (Purchase of Own Shares) Ordinance 1998 to make market purchases of its Ordinary Shares on the five terms set out in the Notice of Meeting for this meeting. [29,324,936 votes cast in favour, 5,000 votes cast against and 700 votes withheld].
IT WAS RESOLVED to amend the Company's name to "The Advantage Property Income Trust Limited". [29,324,936 votes cast in favour, 5,000 votes cast against and 700 votes withheld].
