Exercise of Options, Directors Dealings and Total Voting Rights
Ā
The Company announces that John Kearon, Founder and Executive President of the Company, has exercised 116,568 options over ordinary shares of 1 pence each ("Ordinary Shares") and has sold 116,568 Ordinary Shares, in part to fund the relevant tax, at a price of 240 pence per Ordinary Share.
A total of 116,568 Ordinary Shares which were previously held in treasury have been utilised to satisfy the exercise of the share options.
Following the exercise of options and sale of 116,568 Ordinary Shares, Mr. Kearon holds 2,918,235 Ordinary Shares, representing 22.74 per cent. of the issued share capital of the Company (following issue of the 116,568 new Ordinary Shares).
Following the above, the Company now holds 393,853 Ordinary Shares as treasury shares and its total number of Ordinary Shares with voting rights is now 12,832,920, which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, System1 Group PLC under the FCA's Disclosure Guidance and Transparency Rules.
