Further to the acquisition of Roscoe Postle Associates Inc. ("RPA"), announced in June 2006, RPA has exceeded the performance targets stipulated within the sale and purchase agreement in respect of the second year of ownership by Scott Wilson, as a result of which the RPA vendors are entitled to receive 46,620 ordinary shares in Scott Wilson. Application has been made for 46,620 ordinary shares of 10 pence each in the Company to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange.
The above shares rank pari passu in all respects with the existing issued ordinary shares in the Company and it is expected that dealings will commence on 1st August 2008.
The RPA vendors are entitled to further consideration of up to 139,860 ordinary shares over the next three years, again subject to the achievement of agreed performance targets.
