NOTIFICATION OF TRANSACTIONS BY DIRECTORS, PERSONS
DISCHARGING MANAGERIAL RESPONSIBILITY ("PDMRs") OR CONNECTED PERSONS
Notification made in accordance with Disclosure Rule 3.1.4R(1)(a) of the
Disclosure Rules and Transparency Rules.
Vesting of Awards held by Executive Directors
In accordance with the terms of individual agreements between the Company and the following Executive Directors ("Agreements"), Shares have vested and on 26 May 2016 the independent trustee of the Severn Trent Plc Employee Share Ownership Trust ("Trustee") transferred the beneficial interest in a total of 73,974 Shares to the Executive Directors for nil consideration in satisfaction of the following Tranches of their Award.

The transfer of the beneficial interest in the Shares by the Trustee to the Executive Directors and the subsequent sale of such Shares (as disclosed above) was notified to the Company by each of the Executive Directors on 27 May 2016 pursuant to Disclosure Rule 3.1.2R of the Disclosure and Transparency Rules.
Vesting of Awards held by PDMRs
In accordance with the terms of individual agreements between the Company and the following PDMRs, Shares have vested and on 26 May 2016 the independent trustee of the Severn Trent Plc Employee Share Ownership Trust ("Trustee") transferred the beneficial interest in a total of 6,475 Shares to the PDMRs for nil consideration in satisfaction of their Awards.

The transfer of the beneficial interest in the Shares by the Trustee to the PDRMs and the subsequent sale of such Shares (as disclosed above) was notified to the Company by each of the PDMRs on 27 May 2016 pursuant to Disclosure Rule 3.1.2R of the Disclosure and Transparency Rules.
Vesting of Shares under the Long Term Incentive Plan 2005 ("LTIP")
On 26 May 2015, the Trustee transferred the beneficial interest in a total of 8,029 Shares for nil consideration to Martin Kane, being a Person Discharging Managerial Responsibilities (PDMR), pursuant to awards made under the LTIP in 2013.

The transfer of the beneficial interest in the Shares by the Trustee to Martin Kane and the subsequent sale of such Shares (as disclosed above) was notified to the Company by Martin Kane on 27 May 2016 pursuant to Disclosure Rule 3.1.2R of the Disclosure and Transparency Rules.
On 26 May 2016, the Company transferred a total of 55,957 Shares (which it held as treasury shares) for nil consideration to participants in the LTIP, pursuant to awards made under the LTIP in 2013, including 26,297 Shares to PDMRs as indicated in the table below.
